Terms and Conditions

These Terms and Conditions govern access to and use of the websites, software, messaging services, and related services provided by SolveX Conversions OS LLC (“SolveX,” “we,” or “us”). By accessing or using the services, you agree to these Terms and the Privacy Policy.

You must be at least 18 years old and legally capable of agreeing to these Terms. If you use the services on behalf of a dealership or another organization, you represent that you have authority to bind that organization to these Terms.

SolveX provides AI-assisted lead response, appointment setting, customer communication, and dealership CRM support for automotive dealerships. Features may help draft or send communications, summarize conversations, organize lead information, and support dealership workflows.

AI-generated content may be incomplete, inaccurate, or unsuitable for a particular situation. Dealerships remain responsible for appropriate human oversight, customer communications, business decisions, legal compliance, and information entered into or obtained from their CRM systems.

Program name: SolveX Dealership Messaging

The program may provide lead responses, vehicle inquiry follow-ups, appointment confirmations and reminders, customer-service messages, and other dealership communications you request. Messages may be sent using automated technology.

You may also request assistance by emailing brayan@solvexconversions.org. After an opt-out request, you may receive a final message confirming that the request was processed. You may need to opt out separately from different dealership messaging programs or telephone numbers.

Carrier delivery is not guaranteed. Wireless carriers are not liable for delayed or undelivered messages. Message availability may depend on your carrier, device, coverage, and service plan.

Program name: SolveX Test & Demo SMS

Recipients are limited to SolveX-authorized internal testers and invited product-demo participants. Messages are used only for development, quality assurance (QA), and invited product demonstrations.

Mobile numbers and SMS opt-in or consent data for this program are not sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.

This specific Test & Demo SMS program does not authorize live dealership consumer messaging. Participation in this program does not provide consent for any dealership messaging program.

Eligible participants may opt in through the public SolveX Test & Demo SMS consent form.

You may not use the services to:

• Violate applicable law, telecommunications requirements, consent obligations, or the rights of another person.
• Send deceptive, abusive, harassing, unlawful, or unauthorized communications.
• Circumvent security controls, interfere with service operation, introduce malicious code, or attempt unauthorized access.
• Copy, reverse engineer, resell, or exploit the services except as expressly permitted by a written agreement or applicable law.
• Submit information that you do not have the right or required permission to process.

SolveX may maintain, update, modify, suspend, or discontinue features. Service interruptions may result from maintenance, internet or carrier failures, third-party systems, security events, or circumstances outside SolveX's reasonable control. SolveX does not promise that every feature will be continuously available or error-free.

SolveX and its licensors retain all rights in the services, software, designs, documentation, trademarks, and related technology, excluding information and materials supplied by customers or dealerships. These Terms provide a limited right to use the services as authorized; they do not transfer ownership of SolveX intellectual property.

The services may interoperate with telecommunications carriers, CRM platforms, hosting providers, AI providers, and other third-party services. Those services may be governed by separate terms and privacy practices. SolveX is not responsible for third-party systems outside its reasonable control.

To the fullest extent permitted by applicable law, the services are provided on an “as is” and “as available” basis. SolveX disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SolveX does not warrant that AI-generated content, lead assessments, appointment outcomes, sales outcomes, or third-party integrations will be accurate, complete, uninterrupted, or suitable for every use.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, SolveX and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the services.

Any aggregate liability will be limited as provided in the applicable written service agreement. Applicable law may not permit certain exclusions or limitations, in which case those provisions apply only to the extent permitted.

SolveX may suspend or terminate access when reasonably necessary to address security risks, unlawful activity, material breaches, nonpayment under an applicable service agreement, harm to customers or third parties, or legal requirements. You may stop using the services at any time, subject to applicable contractual obligations.

Provisions that by their nature should survive termination, including intellectual-property, disclaimer, liability-limitation, and governing-law provisions, will survive.

SolveX may update these Terms to reflect changes in the services, law, or business practices. Updated Terms will be posted with a revised date. Material changes may also be communicated through other reasonable means when appropriate. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules, except where applicable law requires otherwise.
